Registration and User Accounts

Before accessing the Service, the User must create an Account. During registration, the User will be asked to provide certain registration data, such as an email address, password, etc. The list of mandatory information provided upon registration may be changed from time to time by the Solution Provider at its sole discretion.

Any information the User provides when creating an Account must be truthful, accurate, current, and complete. If we have reason to believe that the information provided does not meet these requirements, we may refuse the User registration or access to the Service (in whole or in part), restrict access to the Service (in whole or in part), or terminate and/or suspend the Account.

After the User's email address has been confirmed (the confirmation method is determined by the Solution Provider), the User will be able to log in to the Personal Dashboard and access the Service, and information about operations will, where technically feasible, be displayed in the Personal Dashboard. The Solution Provider and Service Providers may require the User to take additional actions; in this case, the User must complete them to gain access to the Service.

When using the Solution and the Service, the User may act solely on their own behalf. The User must ensure the proper security and control of all identifiers, passwords, and codes used to access the Solution and the Service, of the devices and equipment used to access the Personal Dashboard, the Account, and the Service, and of the passwords used to access the email address associated with the Account. The User is prohibited from selling, lending, sharing, or otherwise granting access to their Account to third parties. We may terminate or suspend the Account if we determine that the User has breached this provision.

The Account must not contain misleading, inaccurate, or fraudulent information, including, but not limited to, a fake phone number, an artificially created Account reputation, or forged documents.

Accounts are provided at our discretion. We reserve the right to reject any application to create an Account without giving reasons, and to limit the number of Accounts a single User may hold.

To access the Personal Dashboard, the User must enter their unique identifier and provide other information that may be requested by the Solution Provider. The Personal Dashboard may display the following information:

  • the User's personal data;
  • order (Order) history and their statuses;
  • information about purchased gift cards and codes;
  • Service Providers' data posted with the User's consent;
  • information about Fees;
  • other information concerning the User's interaction with the Service and their activity.

User Eligibility Criteria

To be eligible to register an Account and use the Service, the User must:

  • be an individual at least 18 years of age, not limited in legal capacity;
  • not have previously been barred from using the Service;
  • not have an existing Account.

The User undertakes and warrants that they:

  • comply with this Agreement and the other documents referred to in it, together with all future amendments, if any;
  • act in accordance with the law of their jurisdiction and any other Applicable Law;
  • are not prohibited from using the Solution and the Service under any law they are required to comply with. Depending on the User's location or the place from which they access or attempt to access the Solution and the Service, factors may apply that restrict or prevent such access. The User is responsible for complying with all laws and rules applicable to them in their country of location and/or in the place from which access is made;
  • will not use the Solution and the Service for purposes that are unlawful or prohibited by this Agreement;
  • have read, understood, and fully agree to this Agreement as a whole and to each of its provisions individually.

Changes to Eligibility Criteria

We may change the eligibility criteria at any time at our sole discretion. Where possible, we will notify the User before making changes. However, in some cases we may need to make changes without prior notice, including where:

  • the changes are due to legal and/or regulatory reasons; and/or
  • the changes are made in the User's interest; and/or
  • other valid reasons leave the Solution Provider no time for prior notice.

If it is not possible to notify the User in advance, we will inform them of the change as soon as possible after it takes effect.

Restriction, Suspension, and Termination of Access

We may terminate, suspend, or restrict the User's access to the Solution or the Service (in whole or in part) at our sole discretion if:

  • the User breaches or has previously breached this Agreement and/or any other agreement concluded with the Solution Provider or a Service Provider;
  • there are grounds to believe that the User's use of the Solution and the Service breaches applicable laws and/or regulations;
  • there are grounds to believe that, upon registration and/or at any other time, the User provided false, inaccurate, incomplete, misleading, and/or fraudulent information;
  • the User has not provided the information or document requested by the Solution Provider within the set period and/or the documents provided are forged or misleading;
  • the User has failed to take, refused to take, or delayed taking measures provided for by a decision of the Solution Provider, and/or refused to cooperate on a dispute to which they were a party;
  • the User has attempted (whether successfully or not) to gain unauthorized access to the Solution or the Service, to circumvent or breach any security mechanism of the Solution or the Service, or to use the Solution or the Service in any other manner that poses a security threat to us, a Service Provider, and/or another User;
  • the User has attempted (whether successfully or not) to disrupt the operation of the Solution and/or damage software or hardware belonging to us or other Service Providers;
  • the Solution Provider is required to take such action under applicable law and/or an order of a competent government authority;
  • there are grounds to suspect that the person using the User's Account is not the User themselves, or that the Account has been or will be used for unlawful, fraudulent, or unauthorized purposes;
  • there are grounds to suspect that more than one person has access to the same Account;
  • the User has an outstanding debt to a Service Provider;
  • any message sent to the email address specified in the Account is returned as undeliverable;
  • the User has taken actions capable of circumventing the Solution Provider's controls, such as opening multiple Accounts without written consent or abusing promotions and other offers that we may make from time to time;
  • the User unreasonably remains inactive during the conclusion of the Agreement;
  • the User has not completed the registration process and/or another required process;
  • in other cases provided for by this Agreement.

We will take reasonable steps to provide the User with appropriate notice of termination, suspension, or restriction. However, there may be situations in which the Solution Provider is required to refrain from such notice under Applicable Law or the internal policies of the Solution Provider and/or a Service Provider.

The User acknowledges and agrees that:

  • the above examples of cases in which we may resort to restriction, suspension, or termination are not exhaustive;
  • the Solution Provider's decision to take certain actions, including, but not limited to, restriction of access, suspension, or termination, may be based on confidential criteria of material importance to risk-management and security protocols. The User agrees that we are not obliged to disclose to them the details of our risk-management and security procedures.

Limits

Service Providers may set and change operation limits within the Service. Information about limits is communicated to the User in the Personal Dashboard, and/or in the Service Terms, and/or by other means.

Identification

If we are required to do so by law, our internal policy, or the policy of a Service Provider, we may at any time introduce or change mandatory identification and/or verification procedures, require you to complete such procedures, and require you to provide documents confirming the information reported. Failure to complete identification and/or verification is considered a breach of the Agreement and may result in suspension and/or termination of the use of all or part of the Service.

By entering into this Agreement, you consent to the transfer of your data to Service Providers. In some cases, you will need to transfer your data to Service Providers yourself in order to use the Service; in this case, you authorize Service Providers to share your data with us.

You authorize us and Service Providers to carry out checks — directly or through third parties, including using third-party databases and other sources — for the purpose of confirming your identity or protecting you and/or us and Service Providers against fraud, money laundering, terrorist financing, and other financial crimes. Based on the results of such checks, we may take appropriate measures.

We reserve the right to continuously monitor and review any information you provide, where necessary to comply with internal policies, Applicable Law, sanctions programs, embargoes, requirements of legal process, or requests from competent authorities.

By sending such requests, we and/or Service Providers proceed on the basis that your personal data may be disclosed to identity-verification agencies, and you acknowledge and understand this. Such agencies may respond in full to our requests.

We and/or Service Providers may require you to undergo enhanced due-diligence procedures, which may include providing additional personal information, additional records or documents, or participating in in-person meetings with representatives.

Fees

You agree to pay all applicable Fees related to the use of the Service, as indicated in the Personal Dashboard (where technically feasible), or as communicated to you in the relevant Service Terms, or at the time of the operation, or by another agreed method.

You authorize Service Providers to charge all applicable Fees payable in connection with the use of the Service, in accordance with the calculation method presented in the Personal Dashboard (where technically feasible) and/or at the time of the operation, or by another agreed method.

The Solution Provider and other Service Providers may change Fees from time to time, including introducing new Fees.

The Solution Provider's Fees constitute remuneration for the technological and agency services provided by the Solution Provider (access to the service and the Personal Dashboard, organizational support, interaction with partners and Target Services, execution of Orders to purchase gift cards and codes). The cost of Target Services and other participants in the partner infrastructure may be included in the amounts payable and is communicated to the User in the Personal Dashboard.

We strive to display accurate information about Fees; however, unintentional typos, inaccuracies, or omissions relating to Fees may occasionally occur. We reserve the right to correct any errors, inaccuracies, and omissions at any time.

Intellectual Property Rights

You acknowledge that all Intellectual Property Rights associated with the Solution and the Service belong to us, other Service Providers, or the relevant licensors. Service Providers retain all rights not expressly granted to you under this Agreement or otherwise.

The User is granted a limited right to use the Solution under a non-exclusive, non-transferable, non-sublicensable, and revocable license, valid solely during the term of the Agreement and subject to compliance with all its provisions. Any other use beyond the scope of this license is not permitted. Upon expiry or termination of the Agreement, all licenses granted to you terminate, and you must immediately cease all use of the Solution and the Service.

By uploading or otherwise providing any content when using the Solution, you automatically grant the Solution Provider and other Service Providers a worldwide, perpetual, revocable, and royalty-free license, including the right to sublicense, to use, copy, modify, and distribute such content for the purpose of providing and improving the Service.

You warrant that any content you upload does not infringe intellectual property rights, does not invade privacy, and does not violate other rights of third parties, and that you have all necessary rights or permissions to use it in the Service.

The use of the Solution Provider's trademarks, logos, and other commercial designations without our express written permission is prohibited.

In the event of any claims or disputes arising from your use of materials that infringe Intellectual Property Rights, you undertake to cover all related losses and expenses of the Solution Provider and/or Service Providers.

The User may not, must not attempt to, and must ensure that they do not permit or assist anyone to do the following:

  • circumvent, disable, or otherwise interfere with the security features of the Solution and the Service, or features that enforce restrictions on their use;
  • disassemble, reverse engineer, alter, translate, modify, or decompile elements of the Solution, or otherwise ascertain the source code of the Solution, except as expressly permitted by Applicable Law;
  • distribute, copy, modify, duplicate, rent, transfer, sell, or otherwise dispose of the Solution or any of the User's rights in it;
  • breach or abuse the password protection governing access to and use of the Solution;
  • interfere with the integrity or proper operation of the Solution, including generating an unreasonably large number of requests capable of compromising the security or availability of the Solution and/or the Service;
  • use the Solution and/or the Service in an unlawful manner or otherwise in breach of this Agreement. You must not use the Solution and/or the Service to engage in any unlawful operations, actions, or activities, including, but not limited to, money laundering, terrorist financing, smuggling, and commercial bribery. If any unlawful operations, actions, or activities are suspected or detected, we will take all available measures at our discretion, including, but not limited to, suspending access to the Solution;
  • remove, obscure, conceal, or otherwise alter any copyright, trademark, or other intellectual property notices — ours or those of third parties — displayed in the Service or any part of it.

Any improvements to the Solution and/or the Service arising from any feedback belong exclusively to us and Service Providers and are deemed our and their intellectual property. The User irrevocably and unconditionally assigns to us and Service Providers all intellectual property rights that may arise for them as a result of such feedback and waives any copyright they may hold in respect of it.

Third-Party Services

Access to Third-Party Services

The User may access Target Services provided by external and independent service providers ("Third-Party Service(s)"). The User acknowledges and agrees that:

  • Third-Party Services are provided directly by, and under the control of, the third party, and we are not responsible for the quality and availability of their content, including its completeness, reliability, currency, and freedom from errors;
  • we are not responsible for any acts or omissions of such third party, including any failure of a Third-Party Service to meet any particular standard;
  • Third-Party Services are subject to the applicable terms and conditions of the relevant third party (to which the User agrees by accessing such Services), and by using Third-Party Services the User enters into direct interaction with that third party;
  • the User's ability to access Third-Party Services using purchased gift cards and codes is under no circumstances a recommendation or endorsement of those Services by us.

Third-Party Access to Usage Data

For the User to use Third-Party Services, we may need to provide certain data to the relevant third party. The User acknowledges and agrees that we may transfer any data (including, but not limited to, usage data) provided to us by the User when using the Solution. The User authorizes and agrees that we will transfer only the data necessary for the functioning of the Third-Party Services requested by the User.

Disclaimer of Accuracy of Third-Party Content

We cannot and do not guarantee that any third-party content presented in the Service by the relevant third party is accurate, complete, reliable, current, or error-free.

Disclaimer of Liability for Errors Related to Third-Party Services

If a transaction is not completed due to the actions of a third party, or an error occurred as a result of the actions of a third party, we are not responsible for any claims, obligations, expenses, losses, costs, and/or demands arising in connection with such content or activity of the third party.

Liability

The Solution Provider is not liable for any direct or indirect losses of the User, including, but not limited to:

  • lost profit,
  • reputational costs,
  • loss of data, or inability to use the functionality of the Solution,
  • as well as losses caused by the actions of third parties.

The Solution is provided on an "as is" and "as available" basis. The Solution Provider does not guarantee the uninterrupted, error-free, or fully secure operation of the Solution, nor its availability at any given time or in any jurisdiction.

The Solution Provider is not liable for:

  • the acts or omissions of third parties, including failures, errors, or unavailability of functionality based on their solutions;
  • the impossibility of executing an operation for reasons beyond the Solution Provider's control (including network failures, transaction blocks, failure of external processing, etc.);
  • the User's provision of incomplete, inaccurate, or outdated data, and the consequences of such provision;
  • consequences related to the User's failure to fulfil tax, currency, or other public-law obligations.

The User bears full responsibility for all actions performed using their Account, including where access to it was obtained by third parties before the Solution Provider was notified of a possible compromise. The User undertakes to:

  • maintain the confidentiality of their access credentials, including logins, passwords, confirmation codes, and other identifiers;
  • protect the devices used to access the Solution (including installing up-to-date antivirus software, using password protection, and updating software in a timely manner);
  • avoid connecting to the Personal Dashboard via public or insecure networks without using secure communication channels;
  • ensure the protection of the email associated with the Account and prevent third-party access to it;
  • take reasonable measures to protect their digital identifiers and immediately notify the Solution Provider of any suspected compromise.

The Solution Provider's aggregate liability to the User during the term of the contract, on all possible grounds, including obligations to compensate for losses, is limited to the amount of Fees actually received from the User over the last three (3) calendar months preceding the moment of the event giving rise to the liability, but in any event no more than USD 100 (one hundred).

Users must comply with all laws applicable to them. Users represent that they are not a sanctioned person and do not act, directly or indirectly, on behalf of a sanctioned person. To the extent permitted by law, Users must provide the Solution Provider with information about any claims, suits, legal proceedings, or investigations against them or persons related to them concerning sanctions by any sanctions authority — immediately after they become aware of it.

If a third party brings a suit or demand against the Solution Provider caused by the User's breach of obligations or laws, the User undertakes to fully compensate the Solution Provider for any losses, including legal costs and other expenses, arising as a result of such suit or demand.

The User agrees to defend, indemnify, and hold harmless the Solution Provider, its affiliates, and their directors, officers, agents, contractors, and employees from any losses, liabilities, claims, expenses (including court and legal fees), and damages arising out of, related to, or resulting from the use of the Solution, breach of the Agreement, or the posting or transmission of any materials through the Solution. This includes, but is not limited to, any third-party claim that information or materials provided by the User infringe the intellectual property or other rights of that third party.

This section of the Agreement applies to the maximum extent permitted by Applicable Law and does not limit the liability of the Parties in cases where such limitation is expressly prohibited by law.

Beta Services

We reserve the right to change or remove the Service and/or its features at any time without prior notice.

From time to time, Service Providers may also provide the User with features that are under development ("Beta Services"). Beta Services are provided "as is," without any warranties, express or implied. The User may, at their sole discretion, decide to trial such Beta Services. The User acknowledges that Beta Services may contain errors or defects, and any participation in their use is at the User's risk. The User acknowledges that a Service Provider may discontinue the provision of Beta Services at any time at its discretion and may never make them generally available.

As a User, you agree that if the Service or Beta Services do not meet your expectations, your sole remedy is to stop using them.

The User bears full responsibility for the selection and use of Third-Party Services, and, notwithstanding any other provisions of the Agreement, we and our affiliates make no warranties, express or implied (whether by law or otherwise), and hereby disclaim all liability in respect of any such Third-Party Service.

Force Majeure

We are not liable for any delay in or failure to perform obligations under this Agreement if such delay or failure is caused by circumstances of force majeure, including, but not limited to:

  • fires,
  • strikes,
  • wars,
  • floods and other natural disasters,
  • power outages or failures,
  • acts of government authorities,
  • failures of computers, servers, or the Internet,
  • criminal acts of third parties,
  • and any other delays, failures, or interruptions that could not have been foreseen.

Privacy of Others

If, as a result of using the Solution and the Service, you obtain information about another User, you must keep such information confidential and use it solely in connection with the Service and always in accordance with Applicable Law. You may not disclose or distribute any information about a User to third parties or use it in any other way, except where reasonably necessary for the use of the Service.

Taxation

You are solely responsible for accounting for and fulfilling all tax obligations that may arise for you in connection with the use of the Solution and as a result of accessing and using the Service. We make no representations regarding tax obligations, assume no tax obligations in respect of Users, are not responsible for their tax obligations, and are not responsible for the calculation, reporting, withholding, or remittance of any taxes arising in connection with the Solution and the Service you use. You acknowledge and agree that we do not provide you with any tax advice.

Special Conditions

The User represents and warrants that they are not included in any lists of persons subject to international sanctions. The User acknowledges that the Service may be unavailable in certain jurisdictions and that the User is solely responsible for

  • (a) compliance with export-control law and
  • (b) monitoring changes to it.

We may immediately terminate this Agreement if we reasonably believe that the User is breaching the provisions of this section.

Confidentiality

Any personal information you share is treated as confidential. Such information may be shared with affiliates, business partners, Service Providers, and other persons in accordance with the Agreement. Web-analytics systems may collect data about the pages you view, how you discovered the Service, the frequency of visits, etc. The information we receive is used to improve the Service and may be used by us and Service Providers to contact you by any suitable means and to provide you with information that we believe may be useful to you. More detailed information is set out in our Privacy Policy.

Dispute Resolution

Notice of Claim

If you have any questions regarding the Solution and the Service, please contact us first. We seek to resolve any issues you may have without resorting to formal legal proceedings as far as possible. If your issue cannot be resolved on a priority basis, you will be assigned a ticket number. The assignment of a ticket number initiates the internal dispute-resolution procedure. We will try to resolve the dispute as soon as possible. The Parties agree to negotiate in good faith to resolve the dispute (such discussions remain confidential and are subject to applicable rules protecting settlement negotiations from being used as evidence in any proceedings).

If the dispute cannot be resolved satisfactorily and you intend to bring a claim against us, you agree to set out the grounds for such claim in writing in a "Notice of Claim" as a form of preliminary notice. The Notice of Claim must:

  • (1) describe the nature and basis of the claim or dispute;
  • (2) set out the specific relief sought;
  • (3) state the original ticket number;
  • (4) state the email address of your Account.

The Notice of Claim is sent to the email address: support@a1.codes. After the Notice of Claim is sent, the dispute specified in it may be referred by us or by you to the appropriate proceedings.

For the avoidance of doubt: referring the dispute to us for internal resolution and sending a Notice of Claim are preconditions to commencing arbitration (or any other legal) proceedings.

During the proceedings, the amount of any settlement offer made by you or us is not to be disclosed to the arbitrator.

You and we agree that, subject to the previous paragraph (Notice of Claim), any claim is subject to consideration in the courts of the country of registration of the Solution Provider.

Limitation Period

Any legal proceedings against us must be commenced by filing and serving a Notice of Legal Proceedings within one year from the date on which the User asserting the claim first became aware, or should reasonably have become aware, of the alleged act, omission, or default giving rise to the claim (the "Limitation Period"). For the avoidance of doubt, the Limitation Period includes the dispute-resolution period provided for in this Agreement. The User has no right to any remedy in respect of a claim if a Notice of Legal Proceedings for it is not filed and served on us within the specified Limitation Period. If the Limitation Period conflicts with Applicable Law, the User must bring any claim against us as soon as possible as permitted by Applicable Law.

Notice of Legal Proceedings

If we commence proceedings against you, we will send you notice at the email address you provided.

Waiver of Class Actions

You and we agree that any claims may be brought against us in proceedings solely on an individual basis. You waive any right to bring, have heard, or have considered such claims as a class action.

Governing Law

Except where Applicable Law requires otherwise or gives you the right to choose otherwise, this Agreement is governed by and construed in accordance with the law of the country of registration of the Solution Provider.

Term and Termination of the Agreement

This Agreement is concluded for an indefinite term and remains in effect until it is terminated in accordance with the provisions set out in it.

If the User has no debt to us and no outstanding Orders, the User may terminate the relationship by contacting the support service and following its instructions.

After the Account is deleted, access to the Service becomes impossible. Any monetary obligations of the Parties that arose before the date of Account deletion survive until they are fully discharged.

Amendments

We may unilaterally amend this Agreement and other applicable documents, including the Service Terms. Please review this Agreement and other applicable documents each time you access or use the Solution and/or the Service. You confirm and agree that accessing or using the Solution and/or the Service constitutes your acceptance of the most current versions of the documents. If you do not agree to comply with the terms of this Agreement and other applicable documents, you may not access or use the Solution and the Service. We notify the User of changes by posting updated versions of the documents in the Personal Dashboard and/or on the Website. Changes take effect from the moment the new version of the document is published, unless other timeframes are expressly specified upon publication. The User's use of the Solution and the Service after the changes take effect is considered unconditional acceptance of the updated terms. Updated Fee information takes effect from the moment it is published in the Personal Dashboard or sent to the User's email address. Performing operations in the Service after that indicates the User's acceptance of the new Fee terms.

Survival

All provisions of this Agreement that by their nature survive the expiry or termination of the Agreement remain binding and continue to apply after such expiry or termination.

Invalidity

If, at any time, any provision of the Agreement becomes unlawful, invalid, or unenforceable in any respect, this in no way affects the legality, validity, and enforceability of the remaining provisions.

Relationship of the Parties

Except for the Service expressly provided under the agency model in accordance with the Terms of the "Gift Cards and Codes" Service, we are not your agent in performing this Agreement. In respect of that Service, the Solution Provider acts as the User's agent to the extent and on the terms established by the relevant Service Terms. This Agreement must not be construed as creating an association, joint venture, partnership, or franchise between the Parties, or as evidence thereof.

No Waiver

No delay or omission on our part in exercising any right or remedy under the Agreement constitutes a waiver of its future exercise. The rights and remedies provided for in the Agreement are cumulative and do not exclude any other rights or remedies provided for by Applicable Law.

Set-Off

In addition to any legal or other remedy available under the Agreement or Applicable Law, we may set off any amounts you owe us under the Agreement.

Assignment

You may not assign or transfer any of your rights or obligations under the Agreement without our prior written consent. We, however, may at any time assign or transfer any of our rights or obligations under the Agreement to any person, including in connection with any merger, acquisition, or other corporate reorganization involving us.

Contact Information

We communicate information to the User through the Personal Dashboard or using the contact details provided by the User. By providing us with contact details (for example, an email address or phone number), the User agrees to receive any information from us and other Service Providers via the specified contact details, including information about amendments to this Agreement. It is extremely important that your contact details are accurate and up to date. If your contact details change, please notify us immediately. We are not liable if you do not receive important information or notices from us and other Service Providers due to outdated contact details.

Communication between the User and us or other Service Providers, our clarifications regarding the Agreement, news, articles, newsletters, etc., sent by us or a Service Provider, do not constitute investment advice or recommendations, or an offer or recommendation to enter into any transaction.

Personal messages sent to the User are deemed received upon expiry of the period normally required to deliver a message via the relevant means of communication. A message sent to the Personal Dashboard, by email, by SMS, or via a messenger is deemed received on the day it is sent.

The User must immediately inform us and Service Providers of any data that has changed compared to that previously provided (for example, changes to personal or contact details), and of any circumstances capable of affecting the performance of their obligations to us and other Service Providers (for example, reorganization, bankruptcy, enforcement or liquidation proceedings). Upon request, the User must provide a document confirming the change.

The User must immediately notify us and other Service Providers of the loss of an identity document or other means of identification or security element.

You agree that we may record and store any telephone conversations, correspondence by email, chat, and in any other forms of communication with you, including communication used to give instructions for the purpose of initiating operations, and that such records may be used as evidence in any proceedings. These records are our exclusive property.

If you communicate with us by email, please note that the security of email over the Internet is not guaranteed. Terms of the "Gift Cards and Codes" Service (agency model)

1. Subject Matter and Legal Nature of the Service

  • 1.1. Under this Service, the Solution Provider, on the User's Order and in the User's interest, performs actions to purchase access and/or nominal value in a Target Service in the form of a gift card or code.

  • 1.2. In providing this Service, the Solution Provider acts as the User's agent — in the name of, on behalf of, in the interest of, and at the expense of the User. The User acts as principal, and the Solution Provider as agent.

  • 1.3. The Solution Provider is not the issuer of gift cards, codes, or other products of the Target Service, is not its distributor, and does not sell such products as principal (in its own name and at its own expense).

  • 1.4. This Service does not involve the provision of money-transfer services for third parties, the raising of Users' funds as a payment agent or operator, the holding of Users' funds, or the issuance of electronic money.

2. Placement and Execution of an Order

  • 2.1. The User creates an Order in the Personal Dashboard, independently specifying the Target Service, the required nominal value (product) and, where necessary, the region.

  • 2.2. The User is responsible for the truthfulness and correctness of the data specified in the Order, including the product, region, and nominal value. The Order is executed in strict accordance with the data specified by the User.

  • 2.3. The Order is executed by providing the User with the purchased gift card or code (including activation data) in the Personal Dashboard and/or to the email address specified by the User.

  • 2.4. The Order is deemed executed at the moment the purchased access or nominal value is provided to the User, including at the moment the code or gift card data is revealed (displayed), regardless of when the User actually uses it.

  • 2.5. Creating an Order constitutes the User's agreement to these Service Terms, including the provisions on the refund procedure.

3. Beneficiary Identification

  • 3.1. Before an Order is executed, the User completes registration and provides data to the extent necessary to identify them as the Beneficiary, in accordance with the "Identification" section of this Agreement and the internal policies of the Solution Provider.

  • 3.2. The Solution Provider may request additional information and documents, and may suspend the execution of an Order until identification and/or verification is completed.

4. Payment and Agency Fee

  • 4.1. The User pays the Solution Provider the amount of the Order (the cost of the access or nominal value being purchased) and the Agency Fee. The amount and calculation method are communicated to the User in the Personal Dashboard and/or at the time the Order is placed.

  • 4.2. Payment is made by the User in respect of a specific Order. This Service does not provide for the creation of a prepaid (accumulative) User balance, unless expressly stated otherwise in the Personal Dashboard.

  • 4.3. The Solution Provider, at its own expense, ensures the execution of the Order with the Target Service.

5. Region, Data Correctness, and Target-Service Specifics

  • 5.1. The access or nominal value being purchased (gift card, code) may be tied to a particular region and subject to the rules of the Target Service. Before creating an Order, the User must ensure the compatibility of the selected product with their account and region.

  • 5.2. The User's use of the purchased access or nominal value is governed by the terms of the relevant Target Service, with which the User interacts directly. The Solution Provider is not a party to such terms and does not control them.

6. Refunds

  • 6.1. If an Order is not executed (the gift card or code is not provided), the amount paid by the User is refundable in the manner determined by the Solution Provider.

  • 6.2. If a provided code or gift card turns out to be non-functional for reasons beyond the User's control (for example, the code is invalid or was already used before being provided to the User), then, provided the User contacts the support service within a reasonable period and provides the necessary confirmations, the Solution Provider, at its discretion, arranges a replacement with an equivalent product or a refund of the amount paid. This provision does not apply to codes rendered unusable as a result of the User's actions, the User's breach of the Target Service's rules, or the expiry of the product's validity period after it was provided to the User.

  • 6.3. After an Order is executed — including after the code or gift card data is revealed (displayed) — the amount paid is non-refundable, except as provided for in clause 6.2 and by Applicable Law. No refund is made if the Order is not executed or is executed incorrectly due to the User specifying incorrect data (product, region, nominal value).

7. Prohibition of Unlawful Use and Sanctions

  • 7.1. The provisions of the "Identification" and "Special Conditions" sections, as well as the provisions on the prohibition of unlawful use and "Dispute Resolution" of this Agreement, apply to this Service in full.

  • 7.2. The Solution Provider may suspend or refuse the execution of an Order where there are signs of a suspicious transaction, a breach of sanctions requirements, or another breach of this Agreement.

8. Limitation of Liability

  • 8.1. The Solution Provider is not liable for the availability, quality, and rules of the Target Service, or for the consequences of the User providing inaccurate data in the Order. In all other respects, the provisions of the "Liability" section of this Agreement apply.
